Brobot Industries Terms & Conditions

1. Scope of Services

Brobot Industries provides multi-disciplinary technical solutions, which may include:

• Technical Consulting: Systems architecture, software engineering, cloud infrastructure strategy, embedded systems design, and diagnostic auditing.
• Construction & Prototyping: Bespoke physical fabrication, mechanical assembly, hardware enclosure prototyping, electrical wiring, and physical computing integration.
• Scintilla Platform & Services: Industrial IoT telemetry pipelines, hardware orchestration, remote device health monitoring, edge data routing, and analytics.
• Operations & Technical Support: System maintenance, firmware upgrades, field troubleshooting, and infrastructure monitoring.

2. Scintilla Platform Terms of Use

Where your engagement includes access to or utilization of the Scintilla platform:

• Platform License: Brobot Industries grants you a non-exclusive, non-transferable, revocable license to access and use the Scintilla platform dashboard, APIs, and client-side agent runtimes solely in connection with your authorized devices and active service agreements.
• Edge Devices & Connectivity: You are solely responsible for maintaining the physical security, network power, internet bandwidth, and environmental stability of client-owned hardware interacting with Scintilla services.
• Service Levels & Availability: While Brobot Industries engineers the Scintilla platform for maximum reliability, uptime, and resilient field operations, public preview tiers and standard cloud instances are provided on an "as-is" and "as-available" basis unless explicitly governed by a written Enterprise Service Level Agreement (SLA). Scheduled maintenance will be announced with advance notice when technically feasible.

3. Intellectual Property Rights

All proprietary rights, title, and interest in and to the Brobot Industries brand, the anvil and gear emblems, graphics, software architectures, website copy, and code are the exclusive property of Brobot Industries.

Scintilla Trademarks & Technology: The name "Scintilla", the Scintilla flame-and-compass emblem, Scintilla telemetry ingestion protocols, firmware drivers, and associated platform software are proprietary trademarks and intellectual property of Brobot Industries. Nothing in these Terms transfers ownership of any Scintilla proprietary assets to any User or Client.

Client Work Deliverables: Intellectual property ownership of custom physical builds, specific software deliverables, or bespoke consulting reports will be defined in individual written Statements of Work (SOWs) or Master Services Agreements (MSAs). Unless otherwise agreed in writing, Brobot Industries retains ownership of pre-existing core tooling, background libraries, and generalized engineering methodologies.

4. Acceptable Use Policy

You agree not to use Brobot Industries websites or the Scintilla platform to:

• Engage in or facilitate any unlawful, deceptive, or fraudulent activity.
• Probe, scan, penetration test, or compromise the vulnerability of any Brobot Industries network, server, or Scintilla platform endpoint without explicit prior written authorization.
• Reverse engineer, decompile, disassemble, or derive source code from compiled Scintilla binaries or proprietary hardware firmware.
• Transmit malicious code, viruses, worm exploits, or denial-of-service (DDoS) flood attacks against any service endpoint.
• Impersonate any person, entity, device, or forge network headers or device telemetry identifiers.

5. Commercial Terms, Invoicing & Payments

Fees for consulting, construction, and Scintilla subscriptions are specified in individual client invoices, proposals, or contracts. Invoices are payable within the agreed terms (typically Net 30 from invoice date). Late balances may be subject to interest at 1.5% per month or the statutory maximum. Brobot Industries reserves the right to suspend Scintilla platform telemetry streams or withhold deliverable handoffs in the event of persistent non-payment.

6. Disclaimers of Warranties

EXCEPT AS EXPRESSLY SET FORTH IN A FORMAL WRITTEN CONTRACT SIGNED BY AN AUTHORIZED OFFICER OF BROBOT INDUSTRIES, ALL SERVICES, PROTOTYPES, WEBSITES, AND SCINTILLA PLATFORM TOOLS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Brobot Industries does not warrant that the functions contained in the Scintilla platform will meet all client requirements, that operation will be completely uninterrupted or error-free, or that all hardware defects can be corrected remotely.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE UNDER APPLICABLE LAW, IN NO EVENT SHALL BROBOT INDUSTRIES, ITS DIRECTORS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS, PROFIT, REVENUE, DATA, REPUTATION, OR EQUIPMENT DOWNTIME), ARISING FROM YOUR USE OF OUR WEBSITES, ENGAGEMENT OF CONSULTING SERVICES, OR USE OF SCINTILLA SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BROBOT INDUSTRIES' AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY ENGAGEMENT SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO BROBOT INDUSTRIES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8. Indemnification

You agree to defend, indemnify, and hold harmless Brobot Industries, its officers, directors, contractors, and employees from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorney's fees) arising out of or related to your breach of these Terms, unauthorized modification of Scintilla platforms or delivered hardware, or violation of third-party rights.

9. Termination & Suspension

Brobot Industries reserves the right to immediately suspend or terminate your access to the Scintilla platform or decline service engagements if we reasonably believe you have violated these Terms, compromised platform integrity, or engaged in unlawful conduct. Upon termination, client licenses to Scintilla platform services immediately terminate.

10. Governing Law & Dispute Resolution

These Terms and any dispute arising out of or related to our services shall be governed by and construed in accordance with the laws of the State of Wisconsin, United States, without regard to its conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the state and federal courts located in Wisconsin for the resolution of any legal proceedings.

11. Modifications to Terms

Brobot Industries reserves the right to revise or replace these Terms at any time at our sole discretion. Material modifications will be posted to this page with an updated revision date. By continuing to use our services following posted changes, you agree to be bound by the modified Terms.
